Unnecessarily Complicated LLC

By downloading, installing, or using any app or service provided by Unnecessarily Complicated LLC ("we", "us", or "our"), you agree to these Terms of Service ("Terms"). If you do not agree to these Terms, please do not download, install, or use our apps or services.

1. Acceptance of Terms

By downloading, installing, accessing, or using any app or service provided by Unnecessarily Complicated LLC, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our apps or services.

2. License to Use

We grant you a limited, non-exclusive, non-transferable, non-sublicensable license to download, install, and use our apps solely for your personal or internal business purposes, subject to these Terms and any applicable app store rules.

You may not:

  • Reverse engineer, decompile, or attempt to derive the source code of any app, except where explicitly permitted by law.
  • Resell, rent, lease, loan, or otherwise distribute our apps or any portion of them.
  • Distribute, copy, or publicly display the apps or related content except as expressly allowed by us.
  • Attempt to bypass, disable, or interfere with any security features or access controls, or access any restricted features without authorization.

3. User Responsibilities

You agree to use our apps and services only for lawful purposes and in accordance with these Terms and any applicable laws and regulations. You further agree to:

  • Use the app in a lawful manner and not for any illegal, harmful, or abusive activity.
  • Provide accurate, up-to-date information where the app requires it (for example, when creating an account).
  • Not interfere with, disrupt, or negatively affect the normal operation, performance, or security of the app.

You are responsible for all activity that occurs under your account, device, or login, whether or not authorized by you. Please keep your login credentials secure and notify us or the platform provider immediately if you suspect unauthorized access.

4. Services & Availability

We aim to keep our apps available, secure, and functioning as expected, but we do not guarantee:

  • Continuous or uninterrupted availability of the app or any feature.
  • Error-free operation or that all defects will be corrected immediately.
  • Compatibility with every device, operating system version, or hardware configuration indefinitely.

From time to time, updates may be required (through the Apple App Store or Google Play Store, or directly, depending on the platform) in order to continue using the app. We may modify, suspend, or discontinue features or functionality at any time, with or without notice, provided such changes comply with applicable platform policies and laws.

5. Purchases & Subscriptions (If Applicable)

If the app includes in-app purchases, subscriptions, or other paid features, all payments are processed by the applicable platform provider (such as the Apple App Store or Google Play). We do not collect or store your complete payment information when using those platform billing systems.

  • Refunds are governed by the Apple App Store or Google Play Store policies, as applicable.
  • Pricing, billing frequency, trial periods, and renewal terms are clearly disclosed within the app or on the relevant store listing.
  • Subscriptions may automatically renew unless you cancel through your Apple or Google account settings before the renewal date.

By initiating a purchase or subscription, you authorize the platform provider to charge you in accordance with the disclosed terms. Please review the applicable store policies for information on managing or canceling subscriptions and requesting refunds.

6. Intellectual Property

Unless otherwise stated, all apps, software, code, designs, graphics, text, interfaces, trademarks, logos, and other content (collectively, the "Materials") are owned by or licensed to Unnecessarily Complicated LLC and are protected by intellectual property and other laws.

You may not copy, modify, adapt, translate, create derivative works from, or otherwise reuse any part of the Materials without our prior written permission, except as expressly allowed by these Terms or applicable law.

7. Termination

We may suspend or terminate your access to the app or certain features at any time, with or without notice, if:

  • You violate these Terms or any applicable laws.
  • You misuse the app or engage in behavior that risks harm to us, the app, or other users.
  • We are required to do so by law, court order, or platform policy.

You may stop using the app and uninstall it from your devices at any time. Termination does not limit any rights or remedies that may be available to either party under applicable law.

8. Disclaimer of Warranties

To the maximum extent permitted by law, our apps and services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory. Without limiting the foregoing, we do not warrant that:

  • The app will meet every expectation or requirement you may have.
  • Technology involved will always behave perfectly or without interruption.
  • All complexity will disappear entirely (we do our best, but some complexity may remain).

We do, however, guarantee that we have made a good-faith effort to design and maintain the app so that it behaves in a generally reliable and predictable way, consistent with reasonable industry practices and platform requirements.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Unnecessarily Complicated LLC and its owners, employees, and affiliates will not be liable for any indirect, incidental, consequential, special, or punitive damages, or any loss of data, profits, revenues, or business opportunities arising out of or in connection with your use of or inability to use the app, even if we have been advised of the possibility of such damages.

We are not responsible for:

  • Indirect or incidental damages that are not a direct result of our actions.
  • Data loss or corruption beyond our reasonable control.
  • Failures or outages of third-party services, platforms, or networks (including Apple, Google, cloud providers, or internet service providers).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In those cases, our liability will be limited to the fullest extent permitted by law.

10. Governing Law

These Terms are governed by the applicable local laws of the jurisdiction in which Unnecessarily Complicated LLC is organized, without regard to conflict-of-law principles. Your use of the app may also be subject to other local, state, national, or international laws.

11. Changes to Terms

We may update these Terms from time to time, for example to reflect changes in our apps, legal requirements, or platform policies. When we make material changes, we will update the Effective Date at the top of this page and, where required, provide additional notice (such as in-app notifications or store listing updates).

Your continued use of the app after any changes become effective constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you should stop using the app and uninstall it from your devices.

Final Platform Notes (Important for App Store & Google Play)

To help ensure compliance with Apple App Store and Google Play Store review requirements, please note the following:

  • A live, accessible Privacy Policy URL must be provided.
  • Links to the Privacy Policy should be included in Apple App Store Connect, Google Play Console, and, where appropriate, within the app itself.
  • In-app data collection and usage disclosures must accurately match what the app actually does.
